AUTHENTICATION SERVICES AGREEMENT

This agreement for authentication services (this "Agreement") is between you ("you"), on the one hand, and Wine Authentication Services LLC ("Company," "us," "we") for services provided by Company to you, and is supplemental to the Terms of Service Agreement for Individuals (available at https://www.wineauthentication.com/was/home/terms_policy which is hereby incorporated herein by this reference).

YOU SHOULD READ AND UNDERSTAND THIS AGREEMENT BEFORE CLICKING "I ACCEPT." BY CLICKING "I ACCEPT," YOU REPRESENT AND WARRANT THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, PLEASE DO NOT CLICK "I ACCEPT."

  • 1. Services. Subject to the terms and conditions of this Agreement, we will provide you with information, materials and/or content regarding wine authenticity issues. You understand and agree that any information, materials and/or content provided by us regarding wine authentication issues are merely statements of opinion. Further, you understand agree that, despite any opinion that we provide to you based on photographs, no determination can be made regarding the authenticity of a bottle of wine without a personal inspection of the specific bottle by an expert. AS SUCH, WE ARE NOT RESPONSIBLE OR LIABLE FOR YOUR RELIANCE ON ANY OPINION WE PROVIDE TO YOU, OR THE ACCURACY OR RELIABILITY THEREOF. We encourage you to conduct your own due diligence and to arrange for in-person expert inspections. Any opinions provided by us are provided to you in strict confidence and are not to be disclosed to others.

  • 2. Indemnity. You agree to defend, indemnify, and hold harmless Company and its sponsors, employees, officers, directors, shareholders, affiliates, agents, representatives, suppliers and members (the "Indemnified Person(s)"), from and against any and all claims, liability, suit, proceeding, demand or action, and any damages, losses costs (including reasonable attorneys' fees and other legal costs), expenses, or settlement awards incurred in connection therewith, brought against any Indemnified Person(s) arising out of, or related to the services that we provide to you.

  • 3. Release. To the maximum extent permitted by applicable law, you hereby release, and waive all claims against the Indemnified Persons from any and all liability for claims, damages (actual and consequential), costs and expenses (including litigation costs and attorneys' fees) of every kind and nature, whether known or unknown, suspected or unsuspected, fixed or contingent, arising out of or in any way related to any of the services that we provide to you. If you are a California resident, you waive Your rights under California Civil Code § 1542, which states, "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." Residents of other states and nations similarly waive their rights under applicable and/or analogous laws, statutes, or regulations. You acknowledge that you have been fully informed by counsel concerning the effect and import of this Agreement under California Civil Code § 1542 and other requirements of law. You acknowledge and agree that this is a complete RELEASE and DISCHARGE of all of your claims and rights against the Indemnified Parties, and that no action will be taken by or on behalf of you with respect to any such claims or rights, it being understood that this release shall be binding upon your heirs, executors, and administrators, and anyone claiming by or through you.
